Terms of Service

Welcome to T1 Stays. These Terms of Service (“Terms”) govern your access to and use of the T1 Stays website, mobile interfaces, and related services (collectively, the “Platform”). “T1 Stays” is a “doing business as” (DBA) trade name of T1 LLC. References to “T1 Stays,” “T1,” “we,” “us,” or “our” refer to T1 LLC operating under that trade name. By creating an account, browsing, booking, or listing a property on the Platform, you (“User,” “you,” or “your”) agree to be bound by these Terms. If you are acting as a Host, you are additionally bound by the T1 Stays Host Certification Agreement and the T1 Stays Damage & Deposit Policy. If you are acting as a Guest, you are additionally bound by the T1 Stays Guest / Booking Terms & Cancellation Policy and the Damage & Deposit Policy. Your use of the Platform is also governed by the T1 Stays Privacy Policy. All of these documents are incorporated into these Terms by reference. In the event of a conflict, the more specific document (e.g., the Host Agreement on a Host-specific obligation) controls over these general Terms, except for Sections 12–14 of these Terms (Disclaimers, Limitation of Liability, and Dispute Resolution), which control platform-wide unless a more specific document expressly states otherwise.

Terms used in this document have the same meaning as in the Host Certification Agreement, including “Platform”, “Listing”, “Booking Window”, and “Held Funds”. Additional terms: Host: A User who lists a property for booking through the Platform. Guest: A User who books a stay through the Platform. User Content: Any content submitted to the Platform by a User, including listing photos, descriptions, reviews, and messages.

T1 Stays operates a platform that facilitates bookings between independent Hosts and Guests. T1 Stays is not a party to the accommodation arrangement between Host and Guest, does not own or operate any Listing, and is not a real estate broker, property manager, co-host, or hotel operator. Additional detail on T1 Stays’ role as a marketplace facilitator, including how payments flow between parties, is set out in the T1 Stays Marketplace Facilitator Disclosure. This section references a separate Marketplace Facilitator Disclosure document, which is the next document on your list to build — keep this cross-reference in mind so the two stay consistent once that document exists.

T1 Stays charges no fee to Hosts. T1 Stays charges Guests a service fee that is included in the all-in price displayed at checkout, as described in the Guest / Booking Terms & Cancellation Policy. T1 Stays may change its fee structure prospectively, with notice, but will not change the fee on an already-confirmed booking.

You agree not to: - Use the Platform for any unlawful purpose or in violation of these Terms, the Host Agreement, or the Guest Terms - Circumvent the Platform’s payment system, as described in the Host Agreement’s No Circumvention clause - Impersonate any person or entity, or misrepresent your identity or affiliation - Upload or transmit any content that is unlawful, fraudulent, defamatory, or that infringes the intellectual property or privacy rights of others - Interfere with or disrupt the Platform’s operation, including through unauthorized automated access (scraping, bots) or attempts to bypass security measures - Use the Platform to discriminate against any User on a protected basis, as described in the T1 Stays Non-Discrimination Policy - Use another User’s account without permission Referenced the Non-Discrimination Policy here as well — another document still to be built. Once both the Marketplace Facilitator Disclosure and Non-Discrimination Policy exist, do a final pass across all documents to make sure every cross-reference points to something that actually exists and uses matching language.

You retain ownership of any User Content you submit. By submitting User Content, you grant T1 Stays a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, display, and distribute that content as necessary to operate and promote the Platform. You represent that you have all necessary rights to submit the User Content you upload, and that it does not infringe any third party’s rights. Reviews submitted through the Platform must be truthful and based on the reviewer’s actual experience. T1 Stays may remove reviews that violate its content policies, including reviews that are retaliatory, discriminatory, or unrelated to the reviewer’s actual stay or hosting experience.

The Platform relies on third-party services, including Stripe (payments), Supabase (data infrastructure), and identity verification and email/communications providers. T1 Stays is not responsible for the acts, omissions, or downtime of these third-party services, though T1 Stays will make commercially reasonable efforts to maintain reliable service.

The Platform, including its design, text, graphics, logos, and software (excluding User Content), is owned by T1 LLC or its licensors and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Platform without T1 Stays’ prior written consent.

T1 Stays may suspend or terminate your account or access to the Platform for violation of these Terms or any incorporated document, fraudulent activity, safety concerns, or as otherwise described in the Host Agreement or Guest Terms. You may close your account at any time, subject to any obligations arising from bookings that are still active or under dispute.

T1 Stays is committed to providing a platform free from discrimination. Full detail is set out in the T1 Stays Non-Discrimination Policy, which is incorporated into these Terms by reference and binds all Users.

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. T1 STAYS DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY LISTING WILL MEET A USER’S EXPECTATIONS, BEYOND THE SPECIFIC CERTIFICATIONS SET OUT IN THE HOST AGREEMENT AND GUEST TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, T1 LLC AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING FROM YOUR USE OF THE PLATFORM OR ANY BOOKING, WHETHER BASED IN CONTRACT, TORT, OR OTHERWISE. T1 STAYS’ TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT OF FEES YOU PAID TO T1 STAYS IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

You agree to indemnify, defend, and hold harmless T1 LLC, its officers, employees, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Platform, your violation of these Terms, or your violation of any rights of a third party. This is in addition to, and not in place of, the indemnification obligations set out in the Host Agreement and Guest Terms.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform that is not resolved through T1 Stays’ claims process under the Damage & Deposit Policy shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules, conducted by a single arbitrator, with the arbitration seated in [City, Wyoming]. YOU AND T1 STAYS EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION. Nothing in this Section prevents either party from seeking emergency injunctive relief in court where necessary to prevent irreparable harm, or from bringing an individual claim in small claims court where eligible.

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws principles. Subject to Section 14, any action not subject to arbitration shall be brought exclusively in the state or federal courts located in [County], Wyoming, and you consent to the personal jurisdiction of those courts.

T1 Stays may update these Terms periodically. Material changes will be posted on the Platform with a new effective date and, where required by law, additional notice will be provided. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
